Terms of Service

These Terms govern your access to and use of Jarviz (the "Service"), operated by Siliconwadi LLC, a limited liability company organized under the laws of the State of Wyoming (USA), with registered office at 1021 E Lincolnway Ste 8847, Cheyenne, WY 82001, USA. By signing an order form or using the Service, you accept these Terms.
1. The Service
Jarviz is a revenue decision system that connects advertising platforms (Google Ads, Meta, LinkedIn, etc.), CRM systems (HubSpot, Salesforce, Pipedrive, etc.) and payment systems to consolidate marketing spend and signed revenue into a single, auditable view.
The Service is sold per workspace under an annual subscription. Onboarding is mandatory and delivered by Jarviz personnel.
2. Account & access
You must designate at least one administrator. You are responsible for the confidentiality of credentials and for any activity under your workspace.
Jarviz may suspend access in case of unpaid invoices, suspected fraud, or breach of these Terms, with prior written notice when possible.
3. Subscription, fees, term
Fees are stated on the order form (currently from €500/month, plus a one-time onboarding fee from €1,500). Fees are exclusive of applicable taxes.
Each annual term renews automatically for successive periods of twelve (12) months unless either party gives written notice no less than thirty (30) days before the end of the current term.
Late payments accrue interest at the maximum rate permitted by applicable law, plus reasonable collection costs.
4. Customer data
You retain all rights to the data you connect to the Service ("Customer Data"). You grant Jarviz a non-exclusive license to process Customer Data solely to provide and improve the Service for you.
Jarviz never sells Customer Data and never uses identifiable Customer Data to train shared models.
5. Service level & warranty
Jarviz commits to commercially reasonable efforts to maintain availability above 99.5% on a monthly basis, excluding scheduled maintenance.
The Service is provided "as is" beyond the express warranties stated here. To the maximum extent permitted by law, Jarviz disclaims implied warranties.
6. Liability
Each party's aggregate liability arising out of or related to these Terms is capped at the fees actually paid by you for the Service during the twelve (12) months preceding the claim.
Neither party is liable for indirect, incidental, consequential or punitive damages, lost profits or lost opportunities.
7. Intellectual property
The Service, including its software, design and documentation, is the exclusive property of Siliconwadi LLC. No rights are granted other than those expressly described here.
8. Termination
Either party may terminate for material breach not cured within thirty (30) days of written notice. Upon termination, you may export Customer Data for thirty (30) days; thereafter, Jarviz will delete it within thirty (30) additional days, except where retention is required by law.
9. Governing law
These Terms are governed by the laws of the State of Wyoming (USA), without regard to its conflict-of-laws principles. Any dispute will be brought before the state or federal courts of competent jurisdiction sitting in Cheyenne, Wyoming, except where mandatory consumer-protection rules applicable in the Customer's jurisdiction provide otherwise.
